Terms of Service
These terms govern your use of Parrot. Please read them carefully. By using the service, you agree to be bound by them.
01Acceptance of terms
These Terms of Service (the "Terms") are a binding agreement between you and Parrot Inc., headquartered in San Francisco, California ("Parrot," "we," "us"). They cover your access to and use of the Parrot website, applications, voice agents, and related services (together, the "Service").
By creating an account, signing an order form, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
02The service
Parrot provides an AI back-office platform for collision repair shops. The Service may include outbound voice agents that call suppliers and adjusters, automated email handling, inbound call answering, job tracking, and integrations with shop management systems.
The Service is provided on an ongoing basis and may change over time. We may add, modify, or remove features at our discretion, and will make reasonable efforts to notify you of material changes.
03Accounts and eligibility
To use the Service, you must create an account and provide accurate information. You are responsible for safeguarding your credentials and for all activity that occurs under your account.
You must be at least 18 years old and authorized to bind the business on whose behalf you are using the Service. If you are using the Service for a collision shop or other business, you represent that you have the authority to accept these Terms on its behalf.
04Acceptable use
You agree not to:
- Use the Service for any unlawful purpose, or in violation of any applicable law or regulation, including telecommunications, consumer protection, and data privacy laws.
- Use the Service to send unsolicited communications or to harass any person.
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law.
- Interfere with or disrupt the Service, including by transmitting malware or attempting to gain unauthorized access.
- Misrepresent the source of communications generated through the Service, or otherwise use the Service to deceive a recipient about the identity of the party they are communicating with, beyond standard automated-agent disclosures.
You are responsible for the instructions you give the Service and for the actions it takes on your behalf.
05Fees and billing
Fees for the Service are set out in your order form or current pricing page. Unless otherwise agreed, fees are billed in advance on a recurring basis and are non-refundable except as required by law.
You authorize us to charge your payment method for all fees due. If a payment fails, we may suspend the Service after reasonable notice. Taxes are your responsibility unless stated otherwise.
06Customer data
"Customer Data" means information you or your end users provide to the Service, including repair orders, supplements, parts invoices, call recordings, transcripts, and customer contact information.
You retain ownership of Customer Data. You grant Parrot a limited, non-exclusive license to host, process, and transmit Customer Data as needed to operate and improve the Service, subject to our Privacy Policy.
You are responsible for ensuring that you have the right to provide Customer Data to Parrot, including any consents required to record or process calls and to share information about your customers, employees, suppliers, or insurers.
07Intellectual property
The Service, including its software, models, designs, and documentation, is owned by Parrot or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription term, subject to these Terms.
Feedback you provide about the Service may be used by Parrot without restriction or obligation.
08Third-party integrations
The Service may integrate with third-party platforms, including shop management systems (such as CCC, Audatex, and Mitchell), email providers, and telecommunications carriers. Your use of those services is governed by their own terms.
Parrot is not responsible for the availability, accuracy, or actions of any third-party service.
09Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, Parrot disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Parrot does not warrant that the Service will be uninterrupted, error-free, or that any output (including AI-generated content) will be accurate or suitable for any particular purpose. You are responsible for reviewing Service output before relying on it.
10Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising out of or related to these Terms or the Service.
Each party's total liability arising out of or related to these Terms will not exceed the fees paid by you to Parrot for the Service in the twelve months preceding the event giving rise to the claim.
11Indemnification
You agree to defend, indemnify, and hold harmless Parrot and its affiliates from any claims, damages, or expenses arising out of your use of the Service, your Customer Data, or your violation of these Terms.
12Term and termination
These Terms remain in effect for as long as you use the Service. You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms or fail to pay fees when due.
On termination, your right to use the Service ends. We may delete Customer Data after a reasonable period in accordance with our retention practices, unless we are required to retain it by law.
13Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. The exclusive venue for any dispute will be the state or federal courts located in San Francisco County, California, and each party consents to that jurisdiction.
14Changes to these terms
We may update these Terms from time to time. If we make material changes, we will give reasonable notice, for example by email or through the Service. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
